Terms of Use Agreement

Please read this agreement carefully before using or accessing the TellAll.org website or selecting the "I Agree" button associated with this user agreement or before accessing, using or browsing this site and/or any of the content.


By clicking on "I Agree," or by accessing, browsing or using TellAll.org or any of the content, you, on behalf of yourself or your entity, as applicable, acknowledge that:

1.      You have read and understand all of the terms and conditions of this user agreement.

2.      You agree to be bound by all of the terms and conditions of this user agreement.

3.      This user agreement is the legal equivalent of a signed, written contract between you and TellAll.org.

4.      If accessing, browsing or using TellAll.org or any of the content on behalf of an entity, you have full authority to bind your entity to all of the terms and conditions of this user agreement.

If you are not willing to be or cannot be bound by all of the terms and conditions of this agreement, including without limitation the preceding agreement(s) and acknowledgement(s), then do not use or otherwise access the TellAll.org site, nor select the "I Agree" button associated with this user agreement or access, browse or use TellAll.org or any of the content. Moreover, TellAll.org does not and will not grant you any right or license to access, browse or use TellAll.org or the content without your willingness and ability to be bound by all of the terms and conditions of this agreement, including without limitation the preceding agreement and acknowledgement.

TellAll.org is a service that allows the public to post anonymous reviews about every businesses, professionals, services and products. The services offered by TellAll.org("TellAll.org" or "we") include the TellAll.org website (the "TellAll.org website"), the TellAll.org internet messaging service, and any other features, content, or applications offered from time to time by TellAll.org in connection with the TellAll.org website (collectively, the "TellAll.org services"). The TellAll.org services are hosted in Moscow, Russia.

This Terms of Use Agreement ("Agreement") sets forth the legally binding terms for your use of the Services. By using the Services, you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the Website) or you are a "Member" (which means that you have registered with TellAll.org ). The term "User" refers to a User, Visitor and/or a Member. You (the User) are only authorized to use the Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to all the terms to this Agreement. Please read this Agreement carefully and save it. If you do not agree with all the terms and conditions contained herein, you should leave the Website and discontinue use of the TellAll.org website and any related Services immediately. If you wish to become a Member, communicate with other Members and make use of the Services, you must read this Agreement and indicate your acceptance during the Registration process.

This Agreement includes policy for acceptable use of the Services and Content posted on the Website, and your rights, obligations and restrictions regarding your use of the Services and Privacy Policy. In order to participate in certain Services, you may be notified that you are required to download software or content and/or agree to additional terms and conditions. Unless otherwise provided by the additional terms and conditions applicable to the Services in which you choose to participate, those additional terms are hereby incorporated into this Agreement.

TellAll.org may modify this Agreement from time to time and such modification shall be effective upon posting on the Website. You agree to be bound to any changes to this Agreement when you use the Services after any such modification is posted. It is therefore important that you review this Agreement regularly to ensure you are updated as to any changes.

Please carefully choose the information you post on this website and the information that you provide to other Visitors, Members and/or Users. Your profile may not include the following items: telephone numbers, street addresses, last names, and any photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other Members (for instance, in their Profile) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and TellAll.org assumes no responsibility or liability for this material.

TellAll.org reserves the right, in its sole discretion, to reject, refuse to post and/or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the Services at any time, for any or no reason, with or without prior notice, and without liability.  TellAll.org expressly reserves the right to remove your profile and/or restrict, suspend, or terminate your access to any part of Services if determines, in its sole discretion, that you pose a threat to and/or its Users, Members and/or Visitors.

1.Eligibility. Use of and Membership in the Services is void where prohibited by law. By using the Services, you represent and warrant that (a) all registration information you submit is truthful and accurate. (b) you will maintain the accuracy of such information. (c) you are 14 years of age or older. and (d) your use of the Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are under 14 years of age.

2.Term. This Agreement shall remain in full force and effect while you use the Services or are a Member. You may terminate your Membership at any time, for any reason, by following the instructions on the Member's Account Settings page. TellAll.org may terminate your Membership at any time, and without warning. Even after your Membership is terminated, your responsibilities herein shall survive this Agreement, and such survival shall remain in effect for the preceding three years.

3.Fees. You acknowledge that TellAll.org reserves the right to charge for the Services and to change its fees from time to time in its discretion. If TellAll.org terminates your Membership because you have breached the Agreement, you shall not be entitled to the refund of any unused portion of subscription fees or any fees paid to TellAll.org.

4.Password. When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

5.Non-commercial Use by Members. The Services are for the personal use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by TellAll.org. Illegal and/or unauthorized use of the Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of the Services.

6.Proprietary Rights in Content on TellAll.org.

1. TellAll.org does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you post to the Services. After posting your Content to the Services, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By displaying or publishing ("posting") any Content on or through the Services, you hereby grant to TellAll.org a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through the Services.

Without this license, TellAll.org would be unable to provide the Services. For example, without the right to modify Member Content, would not be able to digitally compress music files that Members submit or otherwise format Content to satisfy technical requirements, and without the right to publicly perform Member Content, TellAll.org could not allow Users to listen to music posted by its Members. The license you grant to TellAll.org is non-exclusive (meaning you are free to license your Content to anyone else in addition to TellAll.org), fully-paid and royalty-free (meaning that is not required to pay you for the use on the Services of the Content that you post), sub-licensable (so that is able to use its affiliates and subcontractors such as Internet content delivery networks to provide the Services), and worldwide (because the Internet and the Services are global in reach). This license will terminate 10 (Ten) years after you remove your Content from the Services. The license does not grant the right to sell your Content, nor does the license grant the right to distribute your Content outside of the Services.

2. You represent and warrant that: (i) you own the Content posted by you on or through the Services or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Content on or through the Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content posted by you to or through the Services.

3.  The Services contain Content of ("TellAll.org Content"). Content is protected by copyright, trademark, patent, trade secret(s) and other laws, and TellAll.org owns and retains all rights in the Content and the Services. TellAll.org hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the Content (excluding any software code) solely for your personal use in connection with viewing the Website and using the Services on your personal computer or other personal device.

4.  The Services contain Content of Users and other licensors. Except for Content posted by you, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the Services.

7.Content Posted.

1.  TellAll.org may delete any Content that in the sole judgment of TellAll.org violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. TellAll.org assumes no responsibility for monitoring the Services for inappropriate Content or conduct. If at any time TellAll.org chooses, in its sole discretion, to monitor the Services, nonetheless TellAll.org assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User, Visitor and/or Member submitting any such Content.

2.  You are solely responsible for the Content that you post on or through any of the Services, and any material or information that you transmit to other Members and for your interactions with other Users. TellAll.org does not endorse and has no control over the Content. Content is not necessarily reviewed by prior to posting and does not necessarily reflect the opinions or policies of TellAll.org. TellAll.org makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you or any other User transmit(s) to other Members.

8. User Submissions. You may submit textual content (the “User Submissions”) through the TellAll.org Services.

You understand that, whether or not such User Submissions are published, TellAll.org does not guarantee any confidentiality with respect to any User Submissions.

In connection with User Submissions, you expressly affirm, represent, and/or warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize TellAll.org to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the TellAll.org Services and this User Agreement.

For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting User Submissions to TellAll.org, you hereby grant TellAll.org a worldwide, non-exclusive, irrevocable, perpetual, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, prepare derivative works of, and display the User Submissions in connection with the TellAll.org Services and for any other purpose as determined by TellAll.org, its successors, and affiliates.

You also hereby grant each user of the TellAll.org Services and any other third parties to whom TellAll.org displays the User Submissions a non-exclusive license to access your User Submissions through the TellAll.org Services or any other means as determined by TellAll.org, and to use such User Submissions as permitted through the functionality of the TellAll.org Services and under this User Agreement or under any other terms as determined by TellAll.org.

You also irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to User Submissions. In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant TellAll.org all of the license rights granted herein. 

TellAll.org does not endorse any User Submission, and TellAll.org expressly disclaims any and all liability in connection with User Submissions

TellAll.org does not permit copyright infringing activities and infringement of intellectual property rights on the TellAll.org Services, and TellAll.org will remove a User Submission if properly notified that such User Submission infringes on another’s intellectual property rights. 

TellAll.org reserves the right to remove User Submissions without prior notice and/or to decline to publish any User Submissions for any reason, including if a User Submission does not comport with Guidelines. Youalone are responsible for your User Submissions.

You assume all risks associated with your User Submissions, including risk for anyone’s reliance on its accuracy, completeness or usefulness, or any disclosure by you of information in User Submissions that makes you personally identifiable. You may not imply that your User Submission is in any way sponsored or endorsed by TellAll.org. You may expose yourself to liability if, for example, your User Submissions violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right. contains material that is false, intentionally misleading, or defamatory. encourages others to adopt a specific policy or to boycott a business in violation of antitrust laws. contains material that is unlawful, including illegal hate speech or pornography. exploits or otherwise harms minors. or violates or advocates the violation of any law or regulation. 

TellAll.org and its licensees may display advertisements and other information adjacent to or included with your User Submissions. You are not entitled to any compensation for such advertisements. The manner, mode, and extent of such advertising are subject to change without specific notice to you. Under no circumstances are you entitled to any compensation for your User Submissions.

Digital Millennium Copyright Act. (DMCA)

A. Notice. If you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (”DMCA”) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c) (3) for further detail):

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  • The Full Name, Business Name, address and phone number of the owner of the intellectual property.
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site.
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material.
  • Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail.
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  •  A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

TellAll.org’s designated Copyright Agent to receive notifications of claimed infringement is: email: compliance @ tellall.org.com.  Only DMCA notices should go to the Copyright Agent. any other feedback, comments, requests for technical support, and other communications should be directed to TellAll.org’s User service department. You acknowledge that if you fail to comply with all of the requirements of this paragraph 5(A), your DMCA notice may not be valid.

B. Counter-Notice. If you believe that your User Submission that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to post and use the content in your User Submission, you may send a counter-notice containing the following information to the Copyright Agent:

  • Your physical or electronic signature.
  • Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled.
  • A statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content.
  • Your name, address, telephone number, and e-mail address, a statement that you consent to the jurisdiction of the federal court in Manhattan, New York, and a statement that you will accept service of process from the person who provided notification of the alleged infringement.

If a counter-notice is received by the Copyright Agent, TellAll.org may send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at TellAll.org’s sole discretion.

9.      Term and Termination. This User Agreement is for services rendered and shall be in full force and effect during such time as TellAll.org is providing the TellAll.org Services to User. TellAll.org may disable User’s access to the TellAll.org Services at any time. TellAll.org reserves the right to modify, update, or discontinue any or all of the TellAll.org Services(s) at its sole discretion, at any time, for any or no reason, and without notice and/or without liability. TellAll.org may close any user account at any time in TellAll.org’s sole discretion. Provisions hereof relating to limits on liability, indemnification, use and protection of information and data, payment due for for the TellAll.org Services, audits, and disclaimers of warranties shall survive the termination of this User Agreement.

10.  Content/Activity Prohibited.The following is a partial list of the kind of Content that is illegal or prohibited to post on or through the Services. TellAll.org reserves the right to investigate and take appropriate legal action against anyone who, in TellAll.org's sole discretion, violates this provision, including without limitation, removing the offending communication from the Services and terminating the Membership of such violators. Prohibited Content includes, but is not limited to Content that, in the sole discretion of :

1.  Is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any group or individual.

2.  Harasses or advocate harassment of another person.

3.  Exploits people in a sexual or violent manner.

4.  Contains nudity, violence, or offensive subject matter or contains a link to an adult website.

5.  Solicits personal information from anyone under 18.

6.  Provides any telephone numbers, street addresses, and last names, URLs or email addresses.

7.  Promotes information that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous.

8.  Promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files.

9.  Involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant messaging, "spimming," or "spamming".

10.  Contains restricted or password only access pages or hidden pages or images (those not linked to or from another accessible page).

11. Furthers or promotes any criminal activity or enterprise or provides instructional information about illegal activities including, but not limited to making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses.

12. Solicits passwords or personal identifying information for commercial or unlawful purposes from other users.

13. Involves commercial activities and/or sales without our prior written consent such as contests, sweepstakes, barter, advertising, or pyramid schemes.

14. Includes a photograph of another person that you have posted without that person's consent. or

15. For band and filmmaker profiles, uses sexually suggestive imagery or any other unfair, misleading or deceptive content intended to draw traffic to the profile.

The following is an additional partial list of the kind of activity that is illegal or prohibited on the Website and through your use of the Services. TellAll.org reserves the right to investigate and take appropriate legal action against anyone who, in TellAll.org's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:

16.  Criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets.

17.  Advertising to, or solicitation of, any Member to buy or sell any products or services through the Services. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent.

In order to protect our Members from such advertising or solicitation, TellAll.org exclusively reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which deems appropriate in TellAll.org’s sole discretion.

If you breach this Agreement and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the Services, you acknowledge that you will have caused substantial harm to TellAll.org, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay $100 for each such unsolicited email or other unsolicited communication you send through the Services and/or through the TellAll.org website.

18.  Covering or obscuring the banner advertisements on your personal profile page, or any page via HTML/CSS or any other means.

19.  Any automated use of the system, such as using scripts to add friends or send comments or messages.

20.  Interfering with, disrupting, or creating an undue burden on the Services or the networks or services connected to the Services.

21.  Attempting to impersonate another Member or person.

22.  For band profiles, copying the code for your Player and embedding it into other profiles or asking other Members to embed it into their profiles.

23.  Using the account, username, or password of another Member at any time or disclosing your password to any third party or permitting any third party to access your account.

24.  Selling or otherwise transferring your profile.

25.  Using any information obtained from the Services in order to harass, abuse, or harm another person.

26.  Displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the Services on behalf of that person, such as placing commercial content on your profile, posting blogs or bulletins with a commercial purpose, selecting a profile with a commercial purpose as one of your "Top 8" friends, or sending private messages with a commercial purpose. or

27.  Using the Services in a manner inconsistent with any and all applicable laws and regulations.

  11.     Additionally, You hereby expressly agree that you will not, and will not assist or enable others to:

1.  Use the tellall.org services to threaten, stalk, defraud, incite, harass, or advocate the harassment of another person, or otherwise interfere with another user’s use of the tellall.org services.

 2.  Use the tellall.org services to submit or transmit spam, chain letters, contests, junk email, pyramid schemes, surveys, or other mass messaging, whether commercial in nature or not.

   3.  Use the tellall.org services for promotional or commercial purposes, except as expressly allowed in writing by tellall.org.

   4.  Use the tellall.org services for keyword spamming or to otherwise attempt to manipulate natural search results.

   5.  Use the tellall.org services to promote bigotry or discrimination against protected classes.

   6.  Use the tellall.org services to violate any third-party right, including any breach of confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.

7.  Use the tellall.org services to submit or transmit pornography or illegal content.

8.  Use the tellall.org services to solicit personal information from minors or to harm or threaten to cause harm to minors.

9.  Use the tellall.org Services in violation of these Terms or any applicable law.

10. Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit the TellAll.org Services.

11. Reverse engineer any portion of the TellAll.org Services.

12. Remove or modify any copyright, trademark or other proprietary rights notice on the TellAll.org Services or on any materials printed or copied off of the TellAll.org Services.

13. Record, process, or mine information about other users.

14.  Use any robot, spider, tellall.org Services search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index the TellAll.org Services or any TellAll.org

Services Content.

1.  Access, retrieve or index the TellAll.org Services to for purposes of constructing or populating a searchable database of business information or reviews.

2. Reformat or frame any portion of the TellAll.org Services.

3. Take any action that imposes, or may impose in our sole discretion, an unreasonable or disproportionately large load on TellAll.org’s technology infrastructure.

4. Attempt to gain unauthorized access to the TellAll.org Services, user accounts, computer systems or networks connected to the TellAll.org Services through hacking, password mining or any other means. use the TellAll.org Services to transmit any computer viruses, worms, defects, Trojan horses or other items of a destructive nature.

5. Use any device, software or routine that interferes with the proper working of the TellAll.org. services, or otherwise attempt to interfere with the proper working of the TellAll.org Services make excessive traffic demands. use the TellAll.org Services to violate the security of any computer network, crack passwords or security encryption codes, disrupt or interfere with the security of, or otherwise cause harm to, the TellAll.org Services.

1.     Remove, circumvent, disable, damage or otherwise interfere with any security-related features of the TellAll.org Services, features that prevent or restrict the use or copying of information from the TellAll.org Services, or features that enforce limitations on the use of the TellAll.org Services.

2.     Use the TellAll.org Services and/or website to compare the data and information offered by TellAll.org to that of a competitive service.

11.  Copyright Policy. You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, code, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights.

It is the policy of TellAll.org to terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of proper notification to TellAll.org by the copyright owner or the copyright owner's legal agent.

Without limiting the foregoing, if you believe that your work has been copied and posted on the Services in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest. (ii) a description of the copyrighted work that you claim has been infringed. (iii) a description of where the material that you claim is infringing is located on the Services. (iv) your address, telephone number, and email address. (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law. (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

12.   MANDATORY ARBITRATION

Any controversy or dispute between You and TELLALL.ORG (the "parties") concerning TellAll.org or the Content shall be submitted to final and binding arbitration as the sole and exclusive remedy for such controversy or dispute.

Any claim shall be made by filing a demand for arbitration within six (6) months following the occurrence first giving rise to the claim. The right and duty of the parties to resolve disputes by arbitration shall be governed exclusively by the Federal Arbitration Act, and arbitration shall take place according to the Commercial Rules of the American Arbitration Association.

The arbitration will be held in Manhattan, New York. Each of the parties shall bear all of its own costs of arbitration, except that the fees of the arbitrator shall be divided equally between the parties. The arbitrator shall have no authority to amend or modify the terms of this Agreement or to award punitive or exemplary damages, and the award may be enforced by judgment. Before, during, or after arbitration each party shall have the right, without awaiting the outcome of the arbitration, to seek interim injunctive relief from an appropriate court including but not limited to temporary restraining orders or preliminary injunctions. Seeking any such remedies shall not be deemed a waiver of either party's right to compel arbitration.

 The tellall.org parties’ maximum aggregate liability to you for any causes whatsoever, and regardless of the form of action (whether such liability arises due to negligence, tort, breach of contract, libel, misrepresentation or for any other reason), will at all times be limited to the greater of (i) the amount paid, if any, by you directly to tellall.org in connection with the authorized use of the tellall.org site in the 12 months prior to the action giving rise to liability or (ii) us $100.00, whichever is greater.

13.  Member Disputes. You are solely responsible for your interactions with other Members. TellAll.org reserves the right, but has no obligation, to monitor disputes between you and other Members.

14.  Privacy. Use of the Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.

15.  Disclaimers.TellAll.org is not responsible for any incorrect or inaccurate Content posted on the TellAll.org Website or in connection with ant of the TellAll.org Services, whether caused by Users of the Services, Members of the website and/ or by any of the equipment or programming associated with or utilized by any entity or by TellAll.org with it use of any Services.

Profiles created and posted by Users or Members on the TellAll.org Website may contain links to other websites. TellAll.org is not responsible for the Content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by TellAll.org. Inclusion of any linked website on the Services does not imply approval or endorsement of the linked website by TellAll.org .

When you access these third-party sites, you do so at your own risk. TellAll.org takes no responsibility for third party advertisements which are posted on this Website or through any TellAll.org Services, nor does it take any responsibility for the goods or services provided by its advertisers. TellAll.org is not responsible for the conduct, whether online or offline, of any User or Member(s) of the Services. TellAll.org assumes no liability and/or responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication.

The tellall.org services and all information and content is made available to you on an “as is,” “as available” basis. Tellall.org, its parents, subsidiaries, affiliates, and third party data providers and mobile application distributors (“collectively the “tellall.org parties”) make no warranties, representations, or conditions of any kind, express, statutory or implied as to (1) the operation and functionality of the tellall.org services, (2) the accuracy, integrity, completeness, quality, legality, usefulness, safety, and ip rights of any of the information and content, including but not limited to the accuracy of business ratings and business information contained on the tellall.org services, and (3) the products and services associated with the tellall.org services. The tellall.org parties further disclaim all warranties, express, statutory, or implied, including, but not limited to, implied warranties of merchantability, merchantable quality, durability, fitness for a particular purpose and non-infringement. No advice or information, whether oral or written, that you obtain from tellall.org or the tellall.org services shall create any warranty, representation, or condition not expressly stated herein.

B. The tellall.org parties disclaim all liability for any (a) indirect, special, incidental, punitive, exemplary, reliance, or consequential damages, (b) loss of profits, (c) business interruption, (d) loss of or damage to reputation, or (e) loss of information or data.

C. The tellall.org parties further disclaim all liability for any loss or damage arising out of your use of the tellall.org services and information and content available through the tellall.org services. Your use of the tellall.org services is at your own discretion and risk, and you will be solely responsible for any resulting loss or damage, including but not limited to lost revenue or profits, any loss of data, or damage to your computer from viruses that may be downloaded to your computer in the course of using the tellall.org services.

D. The tellall.org parties also disclaim all liability for any loss or damage arising out of your communications or dealings with any of the businesses, advertisers, or users listed on the tellall.org services. You acknowledge that tellall.org has no affiliation with such other users and/or other businesses, advertisers, members and users. Your communications or dealings any with such businesses, advertisers, members and/or users are solely between you and them (the other parties), though tellall.org reserves the right to monitor disputes between you and any other party mentioned herein.

E. Some jurisdictions do not allow the exclusion of certain warranties, the limitation or exclusion of implied warranties, or limitations on how long an implied warranty may last, so the above limitations may not apply to you. If you reside in such a jurisdiction, the above limitations shall apply to you to the fullest extent permitted under applicable law. Additionally, if the preceding paragraph does not apply to you, you warrant, represent and agree that the maximum damage award of any kind and of any nature that may be legally entered against tellall.org or any of it affiliates of members many not exceed $100 as defined in paragraph

f. The tellall.org parties’ maximum aggregate liability to you for any causes whatsoever, and regardless of the form of action (whether such liability arises due to negligence, breach of contract, misrepresentation or for any other reason), will at all times be limited to the greater of (i) the amount paid, if any, by you to tellall.org in connection with the site in the 12 months prior to the action giving rise to liability or (ii) us $100.00, whichever is less. This limitation on damages is inclusive of any attorney and/or legal fees.

G. The tellall.org services may contain hyperlinks to third party websites (the “third party sites”), and tellall.org assumes no responsibility and has no control over the information and or content contained therein. The tellall.org parties also disclaim all liability associated with your use of the third party sites.

17.  Limitation on liability. In no event shall tellall.org and/or the tellall.org parties be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profit damages arising from any use and/or your use of the services, even if tellall.org has been advised of the possibility of such damages. Notwithstanding anything to the contrary contained herein, tellall.org's liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to for the services during your membershipin the 12 months prior to the action giving rise to liability or (ii) us $100.00, whichever is less.

18.  U.S. Export Controls.Software available in connection with the Services (the "Software") is further subject to United States export controls. No Software may be downloaded from the Services or otherwise exported or re-exported in violation of U.S. export laws. Downloading or using the Software is at your sole risk.

19.  Disputes.If there is any dispute about or involving the Services, you agree that the dispute shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law provisions and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in Manhattan, New York, in The United States. IT IS EXPRESSLY REQUIRED that any and all disputes between you in or about or involving the Services must be settled by arbitration utilizing the dispute resolution procedures of the American Arbitration Association (AAA) in Manhattan, New York, USA, provided that the foregoing shall not prevent from seeking injunctive relief in a court of competent jurisdiction.

20.  Indemnity.You agree to indemnify and hold TELLALL.ORG , its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the Website or through the Services causes to be liable to another.

21.  Other.This Agreement is accepted upon your use of the Website or any of the Services and is further affirmed by you becoming a User, Visitor and/or Member. This Agreement constitutes the entire agreement between you and regarding the use of the Services. The failure of TELLALL.ORG to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. TELLALL.ORG is a trademark of TELLALL.ORG, Inc. This Agreement operates to the fullest extent permissible by law. If any provision of this Agreement is unlawful, void or unenforceable, that provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

22.   CONTINUED USE DEEMED ACCEPTANCE

TellAll.org reserves the right, at its sole discretion, to change, alter, amend or otherwise modify this User Agreement from time to time. After any such modification becomes effective, TellAll.org will deem Your continued use of TellAll.org.org or any of the Content to constitute Your acceptance of and agreement to such modification.

23.   Restricted License and Use Restrictions. TellAll.org hereby grants to User a non-exclusive, non-transferable, restricted license (without the right to sublicense) to use the TellAll.org Services solely in connection with present or prospective credit, financial, or risk management transactions with the business entities to which the User’s inquiries relate.

User will not use the TellAll.org Services as a factor in establishing an individual’s eligibility for credit or insurance to be used primarily for personal, family or household purposes, or employment purposes, or for any other purposes governed by the Fair Credit Reporting Act. User will use the TellAll.org Services in compliance with all laws, regulations, and ordinances that, in TellAll.org’s opinion, govern the use of the TellAll.org Services, and in compliance with all use restrictions set forth in the Agreement or hereafter adopted by TellAll.org. User’s use of the TellAll.org Services shall be for personal purposes only.

User shall not resell, broker, transfer, or otherwise make the TellAll.org Services and/or the information contained therein available to any third parties. User shall not use the TellAll.org Services, or store the information contained therein, for the purpose of creating product(s) that compete with the TellAll.org Services. You agree that you will not, and will not assist or enable others to:

24.  A) Use the TellAll.org Services to threaten, stalk, defraud, incite, harass, or advocate the harassment of another person, or otherwise interfere with another user’s use of the TellAll.org Services.
B) Use the TellAll.org Services to submit or transmit spam, chain letters, contests, junk email, pyramid schemes, surveys, or other mass messaging, whether commercial in nature or not.

C) Use the TellAll.org Services for promotional or commercial purposes, except as expressly allowed in writing by TellAll.org.

D) Use the TellAll.org Services for keyword spamming or to otherwise attempt to manipulate natural search results.

E) Use the TellAll.org Services to promote bigotry or discrimination against protected classes.

F) Use the TellAll.org Services to violate any third-party right, including any breach of confidence, copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.

G) Use the TellAll.org Services to submit or transmit pornography or illegal content.

H) Use the TellAll.org Services to solicit personal information from minors or to harm or threaten to cause harm to minors.

I) Use the TellAll.org Services in violation of these Terms or any applicable law.

J) Modify, adapt, appropriate, reproduce, distribute, translate, create derivative works or adaptations of, publicly display, sell, trade, or in any way exploit the TellAll.org Services.

K) Reverse engineer any portion of the TellAll.org Services.

L) Remove or modify any copyright, trademark or other proprietary rights notice on the TellAll.org Services or on any materials printed or copied off of the TellAll.org Services.

M) Record, process, or mine information about other users.

N) Use any robot, spider, TellAll.org Services search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index the TellAll.org Services or any TellAll.org Services Content.

O) Access, retrieve or index the TellAll.org Services to for purposes of constructing or populating a searchable database of business information or reviews.

P) Reformat or frame any portion of the TellAll.org Services.

Q) Take any action that imposes, or may impose in our sole discretion, an unreasonable or disproportionately large load on TellAll.org’s technology infrastructure.

R) Attempt to gain unauthorized access to the TellAll.org Services, user accounts, computer systems or networks connected to the TellAll.org Services through hacking, password mining or any other means. use the TellAll.org Services to transmit any computer viruses, worms, defects, Trojan horses or other items of a destructive nature

Use any device, software or routine that interferes with the proper working of the TellAll.org Services, or otherwise attempt to interfere with the proper working of the TellAll.org Services. make excessive traffic demands. use the TellAll.org Services to violate the security of any computer network, crack passwords or security encryption codes.

Disrupt or interfere with the security of, or otherwise cause harm to, the TellAll.org Services. remove, circumvent, disable, damage or otherwise interfere with any security-related features of the TellAll.org Services, features that prevent or restrict the use or copying of information from the TellAll.org Services, or features that enforce limitations on the use of the TellAll.org Services.


S) Use the TellAll.org Services to compare the data and information offered by TellAll.org to that of a competitive service.

25.  To use some of the TellAll.org Services, you may be required to create an account and provide information about yourself to TellAll.org. All information submitted to TellAll.org in connection with the creation of an account must be accurate. You agree not to provide to TellAll.org an email address other than your own. User acknowledges that it is User’s duty to keep secure and hold in the strictest confidence all user identification codes (the “User IDs”) and passwords and the information obtained through the TellAll.org Services. Accordingly, User agrees to: (a) take all commercially reasonable measures to prevent unauthorized access to, or use of, the TellAll.org Services or the data received there from, whether the same is in electronic form or hard copy, by any third party. For companies, entities, or organizations that are specifically authorized to access the TELLALL.ORG site, you hereby agree to: (a) restrict access to the TellAll.org Services to employees who have a need to know. (b) Immediately deactivate the User IDs of any employee who no longer has a need to know, or for terminated employees on or prior to the date of termination. and (c) unless otherwise agreed, prohibit the sharing of User IDs amongst employees. You agree to notify TellAll.org immediately of any unauthorized use of your User ID(s).

26.  In using the TellAll.org Services, you may be exposed to information or content that is offensive, indecent, inaccurate, objectionable, or otherwise inappropriate. TellAll.org disclaims all liability associated with such content and information. TellAll.org does not endorse such information and content, and cannot vouch for the accuracy of any content on the TELLALL.ORG website. TellAll.org is under no obligation to monitor the TellAll.org Services or the information and content displayed through the TellAll.org Services. However, TellAll.org reserves the right to investigate possible violations of these terms, block users from accessing the TellAll.org Services, and refer matters to law enforcement authorities for further investigation. We may disclose information to third parties, including your User Submissions (as defined below), in accordance with the privacy notice, located at www.TellAll.org.com/privacy.

27.  User agrees that if TellAll.org determines or reasonably suspects that User is reselling or brokering the TellAll.org Services’ information, programs, computer applications, or data, or is otherwise violating any provision of these terms, TellAll.org may take immediate action, including terminating the delivery of, and the license to use, the TellAll.org Services. TellAll.org reserves the right to use whatever means it deems appropriate to monitor User’s compliance with the terms and conditions of this Agreement. TellAll.org reserves the right to exercise whatever lawful means it deems necessary to prevent unauthorized access to or use of the TellAll.org Services, including, but not limited to, technological barriers, IP mapping, and contacting your Internet Service Provider (ISP) regarding such unauthorized use.

28.  User agrees that (i) he/she/it is not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country. and (ii) he/she/it is not listed on any U.S. Government list of prohibited or restricted parties.

29.  User Submissions. You may submit textual content (the “User Submissions”) through the TellAll.org Services.

You understand that, whether or not such User Submissions are published, TellAll.org does not guarantee any confidentiality with respect to any User Submissions, In connection with User Submissions, you affirm, represent, and/or warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize TellAll.org to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the TellAll.org Services and this User Agreement.

For clarity, you retain the ownership rights in your User Submissions. However, by submitting User Submissions to TellAll.org, you hereby grant TellAll.org a worldwide, non-exclusive, irrevocable, perpetual, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, prepare derivative works of, and display the User Submissions in connection with the TellAll.org Services and for any other purpose as determined by TellAll.org, its successors, and affiliates. You also hereby grant each user of the TellAll.org Services and any other third parties to whom TellAll.org displays the User Submissions a non-exclusive license to access your user submissions through the TellAll.org Services or any other means as determined by TellAll.org, and to use such user submissions as permitted through the functionality of the TellAll.org services and under this User Agreement or under any other terms as determined by TellAll.org.

You also irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to User Submissions. In connection with User Submissions, you further agree that you will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant TellAll.org all of the license rights granted herein. 

TellAll.org does not endorse any User Submission, and TellAll.org expressly disclaims any and all liability in connection with User Submissions. TellAll.org does not permit copyright infringing activities and infringement of intellectual property rights on the TellAll.org Services, and TellAll.org will remove a User Submission if properly notified that such User Submission infringes on another’s intellectual property rights. 

TellAll.org reserves the right to remove User Submissions without prior notice or to decline to publish any User Submissions for any reason, including if a User Submission does not comport with TELLALL.ORG’s RATING GUIDELINES. You alone are responsible for your User Submissions.

You assume all risks associated with your User Submissions, including risk for anyone’s reliance on its accuracy, completeness or usefulness, or any disclosure by you of information in User Submissions that makes you personally identifiable. You may not imply that your User Submission is in any way sponsored or endorsed by TellAll.org.

You may expose yourself to liability if, for example, your User Submissions violates any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right contains material that is false, intentionally misleading, or defamatory. encourages others to adopt a specific policy or to boycott a business in violation of antitrust laws contains material that is unlawful, including illegal hate speech or pornography exploits or otherwise harms minors. or violates or advocates the violation of any law or regulation. 

TellAll.org and its licensees may display advertisements and other information adjacent to or included with your User Submissions. You are not entitled to any compensation for such advertisements. The manner, mode, and extent of such advertising are subject to change without specific notice to you. Under no circumstances are you entitled to any compensation for your User Submission(s).
